Conversus Ownership and Governance Structure

CCAP’s business and affairs are managed by its general partner, Conversus GP, Limited, a Guernsey limited company subject to the ongoing supervision of the Guernsey Financial Services Commission. All of the shares of Conversus GP, Limited are owned by Conversus Charitable Trust I and Conversus Charitable Trust II, two Guernsey charitable trusts.

Conversus GP, Limited, the general partner of CCAP, has an independent Board of Directors and a Chief Financial Officer. Conversus GP, Limited also has experienced non-voting advisors.

CCAP invests its capital through its limited partnership interest in Conversus Investment Partnership, L.P., a Guernsey limited partnership and its subsidiaries.

Conversus Asset Management, LLC, an independent investment manager, manages the portfolio of Conversus Investment Partnership, L.P. and carries out the day-to-day management and operations of CCAP and Conversus Investment Partnership, L.P. and its subsidiaries pursuant to a services agreement. Oak Hill Investment Management L.P. actively participates in the management of the portfolio via a subadvisory and services agreement it maintains with Conversus Asset Management, LLC.

Conversus Asset Management, LLC is beneficially owned by certain affiliates of Bank of America Corporation and OHIM, certain strategic investors and certain members of its management.
